1. Acceptance of Terms
By using this website, requesting a quotation, approving a supplier option, making payment or instructing us to proceed, you agree to these terms and the confirmed details of the relevant quotation, pro forma invoice, purchase order, message or contract.
2. Nature of Our Services
Toppingdom may act as a sourcing coordinator, purchasing support provider, product supplier, inspection coordinator, consolidation service or shipping coordinator depending on the transaction. The specific role, price and scope will be stated in the confirmed quotation or order documents.
3. Quotations and Product Confirmation
- Quotations are based on the product description, quantity, specification, supplier information, exchange rate, freight rate and other conditions available at the time.
- A quotation may expire or require revision before payment if supplier prices, stock, exchange rates, duties or freight charges change.
- The customer must review and confirm the product name, model, colour, size, quantity, quality level, packaging, logo, delivery city and shipping method before payment.
4. Payment
Work begins after the agreed deposit or full payment is received and confirmed. Bank, payment-platform, foreign-exchange and transfer charges are normally borne by the customer unless otherwise stated. Payments must match the confirmed order information.
5. Supplier and Product Availability
Supplier stock, production time, packaging and product details may change. Where a selected option becomes unavailable, we will request approval before a material substitution. Minor differences that do not change the agreed functional specification may be handled according to normal commercial tolerance.
6. Inspection and Approval
Inspection is limited to the scope agreed for the order. Unless laboratory testing, certification verification or full-unit inspection is separately arranged, inspection does not guarantee performance, lifespan, regulatory compliance or the absence of hidden defects. See the separate Inspection Disclaimer.
7. Shipping and Customs
Transit times are estimates rather than guarantees. Delays may arise from production, consolidation, airline or vessel schedules, customs, port congestion, security checks, weather, public holidays or other events outside reasonable control. Duties, destination charges and restricted-product requirements are handled as stated in the quotation or shipping arrangement.
8. Customer Responsibilities
- Provide accurate product, consignee, delivery and contact information.
- Confirm that the goods are lawful and suitable for import, resale and use at the destination.
- Review photos, videos, samples and documents promptly.
- Pay balances and destination charges when due.
- Inspect goods promptly after receipt and preserve packaging and evidence for any claim.
9. Intellectual Property and Branding
The customer is responsible for having the right to use any logo, trademark, artwork, packaging or design supplied for production. Toppingdom may refuse orders that appear to infringe intellectual-property rights or applicable restrictions.
10. Limitation of Responsibility
To the extent permitted by applicable law and the confirmed transaction documents, responsibility is limited to direct, documented loss arising from the specific service failure. Toppingdom is not responsible for indirect loss, lost profit, market changes, resale performance, customer penalties or losses caused by inaccurate instructions, supplier concealment, carrier events or customs action outside our reasonable control.
11. Suspension or Refusal of Service
We may pause or refuse work involving unlawful, restricted, unsafe, counterfeit, misleading or unpaid transactions, or where required information is withheld.
12. Changes and Priority of Documents
If these website terms conflict with a signed contract or a specifically confirmed order document, the signed or specifically confirmed document takes priority for that transaction.
